Terms and Conditions (AGB)

1. Scope of Application
These Terms and Conditions apply to all contracts, deliveries, and other services between
OMARINO IT Services inh. Omar Zaror, Biberacher Str. 6, 88471 Laupheim, Germany (hereinafter referred to as “the Provider”) and the Customer.
Any differing or supplementary terms and conditions of the Customer shall not become part of the contract unless expressly agreed to in writing by the Provider.
2. Conclusion of Contract
(1) The presentation of services or products on the website or within systems such as Odoo, WHMCS, or WordPress does not constitute a legally binding offer but rather an invitation to submit an order.
(2) By placing an order, the Customer submits a binding offer to enter into a contract. The contract is concluded once the Provider confirms the order via email or by providing the service.
3. Scope of Services
(1) The Provider offers IT services, software development, web hosting, support, and online trade in digital and physical goods.
(2) The exact scope of services is determined by the respective offer, order confirmation, or contract.
(3) The Provider is entitled to use subcontractors to fulfill contractual obligations.
4. Prices and Payment Terms
(1) All prices are stated in euros (EUR) and include the applicable statutory value-added tax unless otherwise indicated.
(2) Payments are due immediately upon invoicing and may be made by bank transfer, PayPal, or other payment methods offered.
(3) In case of delayed payment, the Provider reserves the right to charge default interest in accordance with § 288 BGB (German Civil Code).
5. Contract Duration and Termination
(1) Unless otherwise agreed, service contracts are concluded for a term of 12 months and automatically renew for the same period unless terminated in writing at least 30 days before the end of the current term.
(2) The right to terminate the contract for good cause remains unaffected.
6. Obligations of the Customer
(1) The Customer must provide all information necessary for contract fulfillment completely and accurately.
(2) The Customer may not use the provided systems or services for unlawful purposes, including sending unsolicited messages (spam).
(3) The Customer is responsible for keeping login credentials and passwords secure and confidential.
7. Liability
(1) The Provider shall be liable only for intent and gross negligence, as well as for damages resulting from injury to life, body, or health.
(2) In cases of slight negligence, the Provider shall be liable only for breaches of essential contractual obligations (“cardinal duties”) and limited to foreseeable damages typical for the contract.
(3) Any further liability is excluded.
8. Warranty
(1) The statutory warranty provisions of §§ 611 ff. BGB apply to services.
(2) For delivered goods, the warranty provisions of §§ 434 ff. BGB apply.
(3) The Customer must notify the Provider in writing without undue delay of any defects.
9. Retention of Title
The delivered goods remain the property of the Provider until payment has been made in full.
10. Data Protection
The processing of personal data is carried out in accordance with the Privacy Policy of the Provider, available at https://www.omarino.de/privacy-policy
11. Right of Withdrawal (for Consumers)

Right of Withdrawal
You have the right to withdraw from this contract within 14 days without providing any reason.
The withdrawal period is 14 days from the date of conclusion of the contract.

Consequences of Withdrawal
If you withdraw from this contract, we shall reimburse all payments received from you, including delivery costs (except for additional costs resulting from your choice of a delivery method other than the least expensive standard delivery offered by us), without undue delay and no later than 14 days from the day on which we receive notice of your withdrawal.
We will use the same means of payment you used for the original transaction, unless expressly agreed otherwise.
If the provision of a service has already begun, we reserve the right to charge a proportional amount for the services provided up to the point of withdrawal (§ 357 (8) BGB).
12. Final Provisions
(1) German law shall apply to all contractual relationships, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
(2) The place of jurisdiction, where legally permissible, shall be Laupheim, Germany.
(3) If any provision of these Terms and Conditions is invalid, the validity of the remaining provisions shall not be affected.
